By accessing the website or using the Tedy platform, you agree to these Terms of Use on your own behalf and, if applicable, on behalf of the organization you represent. If you do not agree to these terms, do not use the website or platform.
1. Tedy Services
Tedy provides software that helps employers configure and administer flexible employee benefits programs, including lifestyle spending accounts, recognition, budgets, eligibility rules, claims intake, reimbursement tracking, and reporting.
Tedy is not an insurance carrier, broker, tax advisor, payroll provider, law firm, healthcare provider, or benefits consultant. Information provided through the website or platform is for general operational and educational purposes only and should not be treated as legal, tax, payroll, insurance, medical, or benefits advice.
2. Employer Responsibilities
Employers and administrators are responsible for the design, legality, tax treatment, payroll treatment, communication, funding, and operation of their benefits programs. Employers should consult their own legal, tax, payroll, and benefits advisors before launching or changing a program.
Employers are responsible for ensuring that program rules, eligible categories, reimbursement decisions, employee classifications, and communications comply with applicable federal, state, and local laws.
3. User Responsibilities
You agree to provide accurate information, keep your account credentials secure, use the platform only for authorized purposes, and submit only truthful claims and documentation. You may not misuse the platform, interfere with its operation, attempt unauthorized access, or use the services in violation of applicable law.
4. Claims, Reimbursements, and Taxes
Tedy may help process, review, route, or track claims based on employer-defined rules. Approval of a claim in the platform does not guarantee any particular tax, payroll, accounting, insurance, or legal treatment.
In the United States, lifestyle spending account reimbursements are generally treated as taxable benefits unless an employer's own advisors determine otherwise for a specific program. Employers remain responsible for payroll reporting, withholding, tax forms, accounting, and related obligations.
5. Account Access and Availability
We work to keep the services available and secure, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue parts of the website or platform at any time, including for maintenance, security, legal, or operational reasons.
6. Fees and Payment
Fees, billing terms, subscription terms, and payment obligations are governed by the applicable order form, agreement, or commercial arrangement between Tedy and the employer or customer. Unless otherwise stated in a written agreement, fees are non-refundable except where required by law.
7. Intellectual Property
The website, platform, software, design, text, graphics, logos, trademarks, and other content are owned by Tedy or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from the services except as expressly permitted by Tedy in writing.
8. Third-Party Services
The platform may link to or integrate with third-party services, including payment, payroll, HR, analytics, communication, or support providers. Tedy is not responsible for third-party services, websites, policies, or practices.
9. Disclaimers
The website and services are provided "as is" and "as available." To the maximum extent permitted by law, Tedy disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted operation.
10. Limitation of Liability
To the maximum extent permitted by law, Tedy will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill, even if we have been advised of the possibility of those damages.
To the maximum extent permitted by law, Tedy's total liability for any claim relating to the website or services will not exceed the amounts paid to Tedy for the services giving rise to the claim during the three months before the event giving rise to liability, or one hundred dollars if no amounts were paid.
11. Indemnification
You agree to defend, indemnify, and hold harmless Tedy and its officers, directors, employees, contractors, and agents from claims, losses, liabilities, damages, costs, and expenses arising from your misuse of the services, violation of these terms, violation of law, or infringement of third-party rights.
12. Changes to These Terms
We may update these Terms of Use from time to time. When we do, we will update the date above. Continued use of the website or platform after an update means you accept the updated terms.
13. Governing Law
These terms are governed by the laws applicable to Tedy Financial Technologies Inc., without regard to conflict of law principles, unless a separate written agreement states otherwise or applicable law requires a different governing law.
